All information contained in Fulcrum SNAP for Legal™ Rapid Deployment Solution, as well as all information contained in the other SNAP solutions (including, for example, SNAP Billing™, SNAP Collections™, and related software and software extensions), all of their enhancements, and all associated applications, processes workflows, and user-interface screens made available by subscription or otherwise (collectively, the “SNAP Software”) is and remains the property of Fulcrum Global Technologies, Inc. (“Fulcrum”) and its suppliers, if any, and is designated and protected as Confidential Information under the Master Subscription and Services Agreement (the “Agreement”) between Bradford & Barthel LLP (“Customer”) and Fulcrum effective June 28, 2018. The intellectual and technical concepts contained in the Fulcrum SNAP Software are confidential and proprietary to Fulcrum and such suppliers, may be covered by U.S. and Foreign Patents or patents in process, and are protected by trade secret and copyright law. Unauthorized use, duplication, reverse engineering, or any form of redistribution or use of this material, in whole or in part, without prior written permission or a written license for use obtained from Fulcrum is strictly forbidden.
Access to and use of the Fulcrum SNAP Software is limited to Customer and its authorized Customer Affiliates, employees, agents and contractors (“Authorized Users”), for access and use solely for Customer’s and Customer Affiliates’ internal business purposes in accordance with the terms of the Agreement. Neither Customer nor any Authorized User may, directly or indirectly (i) make the SNAP Software available to anyone other than Authorized Users or use the SNAP Software for the benefit of any unrelated third party; (ii) sell, resell, assign, pledge, transfer, license, sublicense, distribute, rent or lease the SNAP Software; (iii) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas or algorithms of the SNAP Software or any software, documentation or data related to or provided with the SNAP Software; (iv) modify, translate or create derivative works based on the SNAP Software or remove any proprietary notices or labels from the SNAP Software; (v) use or access the SNAP Software to build or support, and/or assist a third party in or supporting, products or services competitive with the SNAP Software; or (vi) include the SNAP Software in a service bureau or outsourcing offering. All Authorized Users must be bound by confidentiality undertakings no less stringent than those undertaken by Customer and Fulcrum in the above-described Agreement. Those obligations extend to and protect all proprietary and technical information, methodologies, and processes contained or reflected in the SNAP Software, including but not limited to all configuration-related methodologies, processes, applications, and user interfaces, among other things, used in the SNAP Software (collectively, the “Confidential SNAP Information”). No person may access this system unless he or she is both specifically authorized to do so and affirmatively agrees to be bound by the restrictions and confidentiality obligations set forth above. By accessing any portion of the SNAP Software, you certify that you are authorized to do so and agree, without reservation, to comply with (i) all of the obligations and restrictions set forth above, and (ii) the confidentiality obligations in the Agreement that are summarized below under the heading “YOUR CONFIDENTIALITY OBLIGATIONS.” If you do not agree to comply with those restrictions and confidentiality obligations, DO NOT PROCEED FURTHER.
YOUR CONFIDENTIALITY OBLIGATIONS:
You agree (i) to take all reasonable precautions to protect the SNAP Software and the Confidential SNAP Information; and (ii) not to use or divulge to any third person any Confidential SNAP Information except to Customer’s Authorized Users who need access for purposes consistent with the Agreement and who you know are bound to confidentiality terms with the Customer containing protections no less stringent than those set forth above.
IF YOU AGREE TO THESE RESTRICTIONS AND CONFIDENTIALITY OBLIGATIONS, YOU MAY PROCEED TO ACCESS THE SNAP SOFTWARE AND RELATED APPLICATIONS AND USER-INTERFACE SCREENS. By so proceeding, however, you thereby signify your assent to comply with the foregoing restrictions and confidentiality obligations.
